The distribution is to be made out of the net investment income (regular interest and dividends). The final tax status of the distribution may differ materially from this preliminary information, which is based on estimates, and the final amount will be determined in early 2022, when the Fund can determine its earnings and profits for the 2021 financial year.

The investment objective of the Ivy High Income Opportunities Fund is to achieve total return through a combination of high current income and capital appreciation. The Fund seeks to achieve its investment objective by investing primarily in a portfolio of high yield corporate bonds of various maturities and other fixed income instruments from predominantly corporate issuers, including senior and subordinated secured loans. There can be no guarantee that the Fund will achieve its investment objective.

The fund is a non-diversified, closed-ended management company. The price of the Fund’s Shares will fluctuate with market conditions and other factors. Closed-end funds often trade at a discount to their net asset values (NAVs), which can increase an investor’s risk of loss. At the time of sale, stocks may have a market price that is below NAV and, when sold, may be worth less than the original investment.

The Fund’s investments in lower investment grade securities (commonly known as “high yield securities” or “junk bonds”) may involve a greater risk of non-payment of interest or principal than higher-rated bonds. Loans (including loan assignments, loan participations and other credit instruments) carry other risks, including the risk of bankruptcy of the lending bank or other intermediary. Loans may be unsecured or not fully secured, may be subject to resale restrictions, and are sometimes rarely traded on the secondary market.

An investment in the Fund is not suitable for all investors and is not intended to be a complete investment program. The Fund is designed to be a long-term investment and not a trading vehicle.

Past performance is no guarantee of future results and future distributions may vary. These or future distributions may also be paid out of net realized gains on portfolio investments, unrealized gains or, in certain cases, from a return on capital (non-taxable distributions).

Ivy Investment Management Company (IICO) is acting as the investment advisor to the Fund. IICO is a wholly owned subsidiary of Waddell & Reed Financial, Inc.
